Appointment of Supervisory Board members for new joint term of office

 

The Management Board of MERCOR S.A. reports that on September 30th 2022 the Annual General Meeting of the Company appointed the following persons as members of the Supervisory Board for a new joint term of office:

  • Mr Eryk Karski,
  • Mr Arkadiusz Kęsicki,
  • Mr Lucjan Myrda,
  • Mr Marian Popinigis,
  • Mr Tomasz Rutowski,
  • Mr Pathy Timu Zenzo,
  • Mr Błażej Żmijewski.

In accordance with their respective representations, the newly appointed members of the Supervisory Board are not engaged in any activities in competition with the Company’s business, including as partners in any competing partnerships under civil law or partnerships of any other type, nor members of governing bodies of any corporation or of any other legal person competing with the Company.

Each of the Supervisory Board members has further represented that they are not entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.

Below the Company provides biographical notes on the newly appointed Supervisory Board members, covering their educational backgrounds, qualifications, previously held positions and employment records.

Eryk Karski

Graduate of the Warsaw School of Economics, Faculty of Finance and Banking. In 1998, he additionally completed a course for investment advisers, in 2002 passed the CFA First Level exam, and in 2004 completed a course for chief accountants run by the Accountants Association in Poland.

Since 2016 – manager of the closed-end investment fund Value Fund Poland Activist FIZ. Since 2007 – partner at the investment and advisory boutique Value Fund Poland sp. z o.o. sp.k.

From 2009 to 2011, Mr Karski was President of the Management Boards & Chief Executive Officer of Lentex S.A. Between 2006 and 2008, he was in charge of restructuring projects implemented at companies of the Supernova Capital Group. He also served as President of the Management Board of the national investment fund Narodowy Fundusz Inwestycyjny Zachodni NFI SA. In 2005–2006, he was Chief Financial Officer of Boryszew SA Elana Branch in Toruń, as well as Deputy Managing Director and registered attorney of that company. Previously, from 2003 to 2005, he held the positions of Finance Director and Electronic Payments & Development Director at the Polish mint Mennica Państwowa SA. He also acted as a registered attorney of that company. From 1999 to 2003, he worked at BRE Bank as a specialist in the Asset Management Department.

A member of the Polish Institute of Directors since February 2007. Since 2001 – member (former member) of many supervisory boards, mainly of companies listed on the Warsaw Stock Exchange, appointed primarily on the initiative of open-end pension funds, investment fund management companies and lending banks.

 

Arkadiusz Kęsicki

He has a degree in Finance and Banking from the WSB University in Poznań. He also graduated from the Strategic Leadership Academy of the ICAN Institute.

Most recently, i.e. since 2020, he has served as Chief Executive Officer of Hoffmann Transport (a leading Polish provider of specialised international freight services), responsible for development and delivery of the company’s strategy and oversight over all its operational and financial activities.

From 2014 to 2019, he served as Member of the Management Board of MILA S.A. (a chain of supermarkets). His responsibilities in that role included supervision and support of the company’s ongoing projects (related to its strategy, operations and processes), with a particular focus on the ‘Launch of the new MILA retail chain’ project and, once the chain was launched, the ‘Update of strategy and strategic initiatives’ project.

From 2009 to 2014, he was professionally involved in the construction industry: from 2013 to 2014 as Chief Financial Officer, Member of the Management Board of Molewski sp. z o.o.; in 2012–2013 as Chief Financial Officer of METALBARK sp. z o.o.; between 2009 and 2012 he worked for ALSTAL Grupa Budowlana sp. z o.o. sp.k. – as Chief Financial Officer (2009–2010), and then as Chief Financial Officer and Member of the Management Board (2010–2012).

Previously, from 2001 to 2009, he pursued his career at POLOmarket sp. z o.o., first as Head of the Finance Department (2001–2005), then as Chief Financial Officer (2005–2006), and finally as Member of the Management Board, Chief Financial Officer (2006–2009). His tasks in that role included direct management of the accounting and controlling departments, liquidity management, and management of the company’s legal, HR, and administration (including logistics) departments. Prior to joining the POLOmarket chain, he was employed as Chief Accountant at POLIMA S.A. (1999–2001), and earlier as Loan Officer (responsible for business loans) at PKO BP Kwidzyn Branch (1997–1999).

 

Lucjan Myrda

He graduated from the School of Fire Service Officers in Warsaw as a fire service officer, and from the Faculty of Electrical Engineering of the Silesian University of Technology in Gliwice, where his principal field of study was industrial electrical engineering. He also completed postgraduate studies in fire prevention at the Main School of Fire Service in Warsaw. He also completed a postgraduate course in logistics for officers of the State Fire Service offered by the Higher School of Quartermaster Officers in Poznań. He is a certified fire protection expert.

1964–1999 was a period of his continuous employment at the State Fire Service, where he began his career as a senior non-commissioned officer for fire prevention at the District Command Centre of the State Fire Service in Kłobuck, and was promoted up to the position of Deputy Regional Commander of the State Fire Service in Kraków. From 1993 to 1999, he served as National Rescue Specialist of the Chief Command Centre of the State Fire Service specialising in energy industry rescue operations. Since 2006, he has worked as an expert in the field of fire protection in construction for the Association of Fire Engineers and Technicians.

He is a consultant for fire protection measures in buildings, court expert in fire protection, and author of post-fire expert opinions and reports,

engaged in initiatives to raise fire protection and prevention awareness. Author of numerous specialist publications, co-organiser and participant of many country-level and international industry conferences, and lecturer at universities. Strongly involved with the industry community, he was one of the initiators of a certification system for companies performing fire protection services in Poland.

Marian Popinigis

Graduate of the University of Gdańsk, Faculty of Law and Administration. Doctoral student in labour law at the State and Law Institute of the Polish Academy of Sciences.

Co-founder of MERCOR S.A., which he established together with partners in 1988. From then until March 2008, he continuously headed the Company, serving as President of its management board.

From 2009 to 2022, he pursued his professional career at Blirt S.A., including as Member and President of its Management Board.

For more than 15 years he was a member of the management board and committees of the Polish Association of Manufacturers of Fire Protection and Rescue Equipment.

Tomasz Rutowski

He graduated from the Faculty of Law and Administration of the Adam Mickiewicz University of Poznań.

From 1997 to 2001, he worked as a trainee at the law firm Kancelaria Adwokacka Zenon Marciniak of Poznań. Since 2001, he has run his own legal practice under the name of Kancelaria Adwokacka Tomasz Rutowski of Poznań. He holds the position of Deputy Disciplinary Representative of the Poznań Bar Association. His other roles are those of Member of the management boards of Ski System sp. z o.o. and Amex sp. z o.o.

Pathy Timu Zenzo

He is a graduate in Civil Engineering of the Poznań University of Technology. His 18 years of experience in building construction and the real estate industry, gained at international organisations operating as property developers, project owners and general contractors, spans acquisition, conceptual design, development and sale of various properties. He holds an unlimited licence to manage construction works.

Currently, as Technical Director at the EXETER PROPERTY GROUP, he is responsible for overall coordination of real estate projects. From 2014 to 2019, he worked at the GOODMAN GROUP as Technical Development Manager, and was additionally responsible for project implementation. Between 2007 and 2014, he worked at the GSE Group, first as Project Manager and then as Senior Project Manager with responsibility for coordination of site works, settlement of subcontracts, technical acceptance of completed works and other areas. From 2004 to 2007, he was employed as Construction Site Engineer at EIFFAGE Mitex Construction and SEICCF Poland.

Since 2014, he has run his own consulting practice under the name of WB CONSULTING, offering technical consultancy services in property development and real estate acquisition, coordination and supervision of technical and environmental due diligence processes, coordination of design work and acceptance of technical solutions.

Błażej Żmijewski

Graduate of the University of Gdańsk, Faculty of Transport Economics, where his principal field of study was maritime transport economics. He also completed the MANAGEMENT 2005 improvement course for managerial staff at the Canadian International Management Institute.

He worked at the Commercial Seaport of Gdynia, GOCON AB of Gdańsk, Przedsiębiorstwo Zagraniczne DORA of Gdańsk and INTERTRADE with its registered office in Gdynia. Since 1992, he has been the owner of a trading company, IMEX TOP 32 of Gdańsk, serving as President of its Management Board.
